A restructuring support agreement (aka plan support agreement or transaction support agreement) is an important tool that is intended to provide debtors with more certainty and control over the chapter 11 process through an agreed-upon framework, including with respect to, among other things, the funding and administration of the chapter 11 cases, treatment of claims and other key plan terms related thereto, and / or the debtors’ post-emergence governance and capital structure. Restructuring support agreements can also be used for out-of-court restructuring / recapitalization transactions and could even provide a framework for implementation through an in-court process in the event the out-of-court alternatives are not successful.  The panelists will provide a general overview of restructuring support agreements and discuss key considerations from the perspective of both debtors and creditors, including best practices in light of recent developments that have shaped the current restructuring landscape.
